Contract lawyers

Drafted, reviewed, negotiated.

A contract is only as good as what it says when something goes wrong. We draft, review and negotiate the agreements your business runs on, so the deal you agreed is the deal on paper.

For a review you get a short, plain-English summary of the risks, the changes we recommend and wording you can send straight back to the other side. Most reviews are quoted at a fixed fee before we start.

How we help

  • Contract review with a plain-English risk summary
  • Terms and conditions for quotes, invoices and websites
  • Supply, distribution and services agreements
  • Confidentiality agreements (NDAs)
  • Contractor and consultancy agreements
  • Negotiating changes with the other side

Good to know

Unfair contract terms carry penalties
Since 9 November 2023, proposing or relying on an unfair term in a standard-form contract with a consumer or small business (fewer than 100 employees or turnover under $10 million) can attract large penalties. Check your own templates, not just the contracts you're asked to sign.
The boilerplate is where disputes are decided
Limitation of liability, indemnities, termination rights and automatic renewal clauses decide who carries the loss when things go wrong. They're the first things we read.
Personal guarantees
Directors are often asked to sign personally. A guarantee can put your own assets on the line for a company's debts — understand it, and limit it, before you sign.
Emails can make a contract
A binding agreement doesn't always need a signed document. Keep negotiations “subject to contract” until the terms are final.

Questions

Is a verbal agreement legally binding?

Often, yes — but proving what was agreed is hard. Some agreements, such as guarantees and dealings in land, must be in writing. Put anything important in writing.

How much does a contract review cost?

We quote a fixed fee once we've seen the document, so you know the cost before we start.

How quickly can you review a contract?

Usually within two business days. Tell us your deadline when you book and we'll confirm whether we can meet it.

What should our terms and conditions include?

Price and payment terms, what happens if a customer doesn't pay, delivery and acceptance, warranties, limits on your liability that comply with the Australian Consumer Law, and how either side can end the arrangement.
